1. General<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
1.1. These General Terms and Conditions of Purchase (AEB) form an integral part of all orders placed by Connova AG (hereinafter \u201cCONNOVA\u201d), regardless of whether they involve the manufacture and\/or delivery of materials or the provision of services.<\/p>
1.2. Insofar as the provisions below are formulated only for orders of materials, they shall always apply mutatis mutandis to orders of services.<\/p>
1.3. The order and its attachments become legally binding on both parties upon CONNOVA’s receipt of an order confirmation signed by the SUPPLIER that conforms to the order. The contract between CONNOVA and the SUPPLIER is deemed concluded upon return of the signed order. <\/p>
1.4. Amendments and supplements to the order and its attachments must be in writing to be valid.<\/p>
1.5. Sales and delivery conditions of the SUPPLIER that deviate from these AEB are not binding on CONNOVA. The SUPPLIER undertakes to request any deviating amendment to these AEB from CONNOVA in writing and to have it confirmed in writing. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
2. Prices<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
2.1 Unless expressly agreed otherwise in writing, the prices stipulated in this order are fixed prices and are understood to be (according to Incoterms 2020) DDP Connova plant in Villmergen\/Switzerland, including packaging material, packaging logistics and any taxes, fees and duties. <\/p>
2.2 Costs for transport insurance, assembly work and handling shall be borne by the SUPPLIER.<\/p>
2.3 Any quantity deviations between the offer and the invoice will not be accepted by CONNOVA. Flat rates or surcharges for energy, transport, packaging, etc., which are not listed in the offer will not be accepted.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
3. Quality requirements<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
3.1 The SUPPLIER is obliged to check the specifications, drawings, technical data, descriptions, samples, etc. specified in the order and its attachments immediately upon receipt during the development or manufacture of the goods and to strictly adhere to them when fulfilling the order. The SUPPLIER shall inform CONNOVA immediately of any inconsistencies or other defects that it identifies during the inspection or execution of the order, with reference to any adverse consequences (warning). The same obligation to give notice applies to the SUPPLIER if, during the execution of its work, it determines that the instructions issued to it by CONNOVA are unclear, incorrect or defective. <\/p>
3.2 If the specifications contained in the order and its attachments do not define the quality of the goods, the SUPPLIER must guarantee the consistent quality of its products for current and future orders by specifying and continuously using a binding quality designation. The SUPPLIER must notify CONNOVA in writing immediately of any change in quality. In the event of quality changes without prior notification, CONNOVA is entitled to reject the goods; in addition, the SUPPLIER is liable for direct and indirect damages. <\/p>
3.3 Subject to other agreements, the SUPPLIER must submit the execution drawings to CONNOVA for approval before the start of production. Approval by CONNOVA does not release the SUPPLIER from its warranty obligation. <\/p>
3.4 Without the prior written consent of CONNOVA, the SUPPLIER is not entitled to transfer all or part of its work to a SUB-SUPPLIER. CONNOVA has the right to check the manufacture of the goods and the progress of the work at any time at the SUPPLIER’s and its SUB-SUPPLIER’s premises after prior agreement. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
4. Material and services for monitored industries<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
4.1 CONNOVA supplies national and international customers in the aerospace industry and other monitored sectors. The SUPPLIER undertakes to maintain a quality management system in accordance with EN9100, ISO 9001 or related standards for deliveries of goods intended for these industries. <\/p>
4.2 The SUPPLIER must provide CONNOVA with all related information and enable CONNOVA to audit its production at any time after consultation.<\/p>
4.3 CONNOVA will inform the SUPPLIER in writing before ordering whether the order involves monitored products.<\/p>
4.4 The SUPPLIER must notify CONNOVA of changes to the product and\/or the process, changes to its SUPPLIERS or changes to the location of the production facility.<\/p>
4.5 The right of access to the facilities and all relevant records of CONNOVA is granted to all customers of CONNOVA and the regulatory authorities, throughout the supplier chain involved in the order, after prior agreement.<\/p>
4.6 Occupational safety and environmental protection<\/p>
4.6.1 The SUPPLIER undertakes to promote and ensure the health of its employees on a permanent basis. Compliance with country-specific laws, regulations and rules on occupational safety is mandatory for the contracting parties. <\/p>
4.6.2 A certified environmental management system in accordance with ISO 14001 or a comparable environmental management system is desirable. At CONNOVA’s request, the SUPPLIER shall present suitable recycling and disposal concepts for its services. <\/p>
4.7 Supply chain transparency<\/p>
4.7.1 The SUPPLIER shall oblige its SUB-SUPPLIERS to comply with the obligations assumed by it under this contract. CONNOVA may request documented evidence from the SUPPLIER that the SUPPLIER has satisfied itself of the effectiveness of the quality management systems of its SUB-SUPPLIERS. CONNOVA may also require the SUPPLIER to submit inspection and quality records from its SUB-SUPPLIERS. <\/p>
4.7.2 The SUPPLIER agrees to disclose the entire supply chain of its products to CONNOVA and its customers upon request and for individual investigations.<\/p>
4.7.3 The SUPPLIER shall exercise special due diligence with regard to compliance with statutory provisions on raw materials and supplier transparency. This concerns in particular, but is not limited to, REACH, RoHS and conflict minerals, as well as radioactive isotopes and Substances of Very High Concern (according to ECHA or Annex 3 of the Swiss ChemV). <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
5. Dispatch, delivery, export permits<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
5.1 The delivery of the goods must be processed in accordance with CONNOVA’s instructions and delivery conditions. In the absence of such instructions, the SUPPLIER is responsible for proper packaging and transport. The SUPPLIER must expressly draw CONNOVA’s attention to special care measures that must be observed during unpacking. The SUPPLIER is solely responsible for obtaining the necessary export licenses. <\/p>
5.2 If the transport of the goods is delayed for any reason, the SUPPLIER must store them properly at its own expense and risk. In the case of annual or framework orders, CONNOVA will notify the quantities to be delivered in writing. <\/p>
5.3 The delivery date is the day of receipt of the goods at CONNOVA’s plant in Villmergen\/Switzerland. Delays due to a circumstance for which the SUPPLIER is responsible entitle CONNOVA, at its own discretion, either (i) to demand subsequent delivery and claim damages for delay (if necessary, plus agreed contractual penalty) or (ii) to waive subsequent delivery and claim damages for non-performance or (iii) to withdraw from the contract and demand repayment of all payments made under the order, as well as damages as a result of the delay. Acceptance of a delayed delivery by CONNOVA does not constitute a waiver of claims for damages. <\/p>
5.4 Subject to other written agreements, ownership as well as benefit and risk for the goods pass to CONNOVA as soon as the goods have arrived on CONNOVA’s factory premises, have been unloaded and accepted by CONNOVA.<\/p>
5.5 The values for delivery quantity, dimensions, weights and quality determined by CONNOVA during the acceptance inspection and\/or incoming goods inspection are recorded in writing and are binding. CONNOVA shall notify the SUPPLIER of defects in writing as soon as they are identified at CONNOVA in accordance with the respective operational circumstances; the SUPPLIER hereby waives the objection of delayed notification of defects and unconditional approval. CONNOVA is not obliged to accept partial or excess deliveries that have not been agreed in writing. <\/p>
5.6 Force majeure and other disruptions that occur at CONNOVA or SUPPLIER and lead to restriction or cessation of production at CONNOVA release CONNOVA from any obligation to accept or pay damages for the duration and to the extent of their effects, provided that CONNOVA cannot avert the disruption with reasonable means.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
6. Payment<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
6.1 Unless otherwise agreed, payment shall be made within 60 days of receipt of the invoice and receipt of the goods at CONNOVA.<\/p>
6.2 Payment of the invoice does not mean that CONNOVA has approved or accepted the goods and\/or waives claims under warranty.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
7. Warranty<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
7.1 With regard to the delivered goods, the SUPPLIER warrants the general freedom from defects in development and construction, the use of the prescribed or, if nothing is prescribed, of suitable material, and in particular the freedom from defects of the material used, the processing and assembly as well as the fulfillment of the other requirements set out in the order and its attachments.<\/p>
7.2 With its notice of defects, CONNOVA sets the SUPPLIER a deadline for free rectification at the location designated by CONNOVA where the defective part is located, or for free delivery of defect-free replacement goods. If the deadline is not met, CONNOVA is entitled, without further request, to remedy the defects itself at the expense and risk of the SUPPLIER or to initiate the substitute performance by third parties. If the defect is so significant that the goods are unusable for CONNOVA or that their acceptance cannot reasonably be expected of CONNOVA, the SUPPLIER must take back the goods at its own expense, reimburse CONNOVA for the price paid and reimburse it for the proven costs for the expenses in connection with the inspection of the goods and the unsuccessful attempts to remedy the defect. CONNOVA is in any case entitled to deduct any reduction in value of the defective part from the SUPPLIER’s remuneration. <\/p>
7.3 CONNOVA has no inspection or reporting obligations. The warranty period is, subject to para. 6.4 below, two years from receipt and acceptance of the goods at the factory <\/span>of CONNOVA in Villmergen\/Switzerland or at another delivery location designated by CONNOVA.<\/span><\/p>
7.4 If the delivered goods are installed by CONNOVA as a component (original equipment or spare part) in a system, the following applies: (a) In the case of original equipment of a system with the component, the warranty period begins to run from the date of acceptance of the system by CONNOVA’s customer; (b) In the case of spare parts, the warranty period begins to run from the date of their installation in the system. <\/p>
7.5 Within the warranty period, CONNOVA may assert its rights in accordance with clause 6.2 above. The SUPPLIER shall reimburse CONNOVA for the costs incurred in connection with the removal or reinstallation of the parts. If, in CONNOVA’s assessment, it is to be presumed that a defect also exists in other parts supplied by the SUPPLIER, CONNOVA is entitled to carry out a recall or replacement campaign for the part recognized as defective. At CONNOVA’s option, the SUPPLIER shall repair or replace all parts already delivered at its own expense. This also applies if the warranty period has already expired, provided that the defective parts are, in CONNOVA’s opinion, suitable to damage other objects or endanger the life and limb of persons. The SUPPLIER shall also reimburse CONNOVA for all damages incurred by CONNOVA as a result of such a replacement campaign. To avoid misunderstandings: Such costs include all costs incurred in connection therewith, i.e. also the internally incurred costs at CONNOVA. <\/p>
7.6 With the repair or replacement of defective parts, the warranty period for these parts begins again.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
8. Property rights<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
8.1 The SUPPLIER is liable for ensuring that the manufacture, delivery, intended and contractual use of the goods does not infringe any patents or other property rights of third parties in Germany and abroad.<\/span><\/p>
8.2 All existing property rights or rights that are created in connection with the fulfillment of this order with regard to services and products of CONNOVA remain with CONNOVA or with authorized third parties.<\/span><\/p>
8.3 The SUPPLIER is liable for all damages incurred by CONNOVA and its customers due to infringement of such property rights. This liability includes the assumption of judicial and extrajudicial costs. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
9. Manufacturing equipment<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
9.1 Manufacturing equipment (tools, gauges, devices, models, samples, prototypes, plans, drawings and the like) that are made available to the SUPPLIER by CONNOVA or that have been paid for by CONNOVA are the property of CONNOVA. They may only be used (i) for the execution of orders from CONNOVA and (ii) may not be destroyed or passed on to third parties without the prior consent of CONNOVA; (iii) they must be clearly marked as the property of CONNOVA. The manufacturing equipment must (iv) be handed over by the SUPPLIER to CONNOVA or to a third party designated by CONNOVA upon first request. <\/p>
9.2 All rights to the design and\/or manufacture of the goods or parts thereof, which have been paid for in part or in full by CONNOVA, (i) arise at any time originally with CONNOVA, (ii) may only be used by the SUPPLIER for the performance of its obligations under the order and (iii) may not be destroyed or made accessible to third parties without the prior written consent of CONNOVA. All drawings or other documents relating to the design or manufacture of such goods and\/or parts thereof must (i) be designated as the property of CONNOVA and (ii) be delivered to CONNOVA or a third party designated by CONNOVA upon first request against payment of the agreed remaining purchase price after deduction of an agreed amortization rate. <\/p>
9.3 The SUPPLIER is responsible for and bears the costs for the normal maintenance of the manufacturing equipment; it also bears the risk of accidental loss, loss, deterioration and damage, but not that of normal wear and tear.<\/p>
9.4 In the event of a breach of the obligations under clauses 8.1, 8.2 and 8.3, CONNOVA may demand damages from the SUPPLIER and the surrender of the benefits obtained and withdraw from all current contracts with the SUPPLIER in whole or in part without any compensation to the SUPPLIER. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

10. Business secrets, advertising<\/h2>\t\t\t\t<\/div>\n\t\t

10.1 The order from CONNOVA to the SUPPLIER and all related commercial and technical details must be treated as business secrets by the SUPPLIER. This obligation must also be imposed on any SUB-SUPPLIERS. <\/p>
10.2 The SUPPLIER may only refer to the business relationship with CONNOVA (as well as all associated technical, commercial and legal information, etc.) if CONNOVA has given its prior written consent.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
11. Countertrade obligations<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
11.1 CONNOVA reserves the right to fully or partially offset the total value of this order against existing and\/or future countertrade obligations, including compensations, which are required by the SUPPLIER’s country.<\/p>
11.2 The SUPPLIER undertakes, at CONNOVA’s request, to confirm the transactions in accordance with the order and to assist CONNOVA in asserting the claims.<\/p>
11.3 CONNOVA also reserves the right to register claims for offsetting countertrade obligations also for the benefit of third parties.<\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
12. Place of performance<\/h2>\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t\t\t\t\t
12.1 The place of performance for all obligations is Villmergen\/Switzerland.<\/p>
12.2 Should another place of performance be determined, CONNOVA will notify the SUPPLIER of this in writing before the order.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
13. Product liability<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
13.1 The supplier is obliged to take out and maintain sufficient insurance policies for its deliveries and\/or services to cover all liability risks, including product liability risks, which also cover any claims by CONNOVA and third parties (including their legal successors) for damages and consequential damages arising from property damage, injury, death, etc.<\/p>
13.2 The supplier shall provide CONNOVA with a copy or policy or a corresponding insurance certificate upon request.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
14. Applicable law and jurisdiction<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
14.1 This order and all related matters are governed by Swiss law.<\/p>
14.2 The place of jurisdiction is Bremgarten\/Switzerland. However, CONNOVA is entitled, in accordance with the Lugano Convention (SR 0.275.12), to appeal to the court responsible at the supplier’s headquarters.<\/p>
