1. General<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
1.1. These terms and conditions of sale and delivery apply to all deliveries and services of Connova AG, especially if the customer regularly orders from CONNOVA. Deviating terms and conditions of the customer are not valid. <\/p>
1.2. All agreements and legally relevant declarations of the contracting parties must be in writing to be valid.<\/p>
1.3. Offers without an acceptance period are non-binding.<\/p>
1.4. The contract with the customer is concluded by written acceptance by CONNOVA.<\/p>
1.5. Electronic signatures that comply with the state of the art and are issued in accordance with the applicable laws are permitted and binding. Where possible, they replace the physical signature. <\/p>
1.6. Should a provision of these terms of delivery prove to be wholly or partially ineffective or unenforceable, the contracting parties shall replace this provision with a new agreement that comes as close as possible to its legal and economic success.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

2. Scope of deliveries and services<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
2.1. The deliveries and services of CONNOVA are conclusively listed in the order confirmation, including any attachments to it. CONNOVA is authorized to make changes that lead to improvements, provided that these do not result in a price increase. <\/p>
2.2. With regard to goods sold by the meter, an excess or short delivery of up to 10% of the order is reserved. If a certain minimum quantity is required, this must be specifically noted when placing the order and the surcharge must be paid. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
3. Plans, technical documents and tools<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
3.1. In the absence of any other agreement, brochures and catalogs are not binding. Information in technical documents is only binding if it is expressly guaranteed. <\/p>
3.2. Each contracting party reserves all rights to plans and technical documents that it has handed over to the other. The receiving contracting party acknowledges these rights and will not make the documents available to third parties in whole or in part or use them outside the purpose for which they were handed over without the prior written consent of the other contracting party. <\/p>
3.3. Tools and molds of all kinds, with the exception of those provided by the customer, are in any case the property of CONNOVA.<\/p>
3.4. If no special agreements regarding tools and molds have been agreed between the customer and CONNOVA, the following applies: CONNOVA bears the storage costs for 12 months after the first delivery of products, after which the storage costs are borne by the customer, who pays these costs at the beginning of each calendar year. Maintenance and care costs are in any case borne by the customer. <\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
4. Regulations in the country of destination and protective devices<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
4.1. The customer must draw CONNOVA’s attention to the regulations and
standards that relate to the execution of the deliveries and services no later than upon receipt of the offer.<\/p>
4.2. In the absence of any other agreement, the deliveries and services comply with the regulations and standards at the customer’s registered office, to which the customer has drawn CONNOVA’s attention in accordance with section 4.1. Additional or other protective regulations are complied with to the extent that this has been expressly agreed. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
5. Prices<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
5.1. Unless otherwise agreed, all prices are net, ex works (currently valid Incoterms), without packaging, in freely available Swiss francs, without any deductions.<\/p>
All ancillary costs such as freight, insurance, export, transit, import and other permits are borne by the customer.<\/p>
Increased energy costs will be invoiced with a separate surcharge.<\/p>
Likewise, the customer must bear all types of taxes, levies, fees, customs duties and the like that are levied in connection with the contract, or reimburse CONNOVA for them upon presentation of corresponding proof if CONNOVA has become liable to pay for them.<\/p>
5.2. CONNOVA reserves the right to adjust prices if the wage rates or material prices change between the time of the offer and the contractual fulfillment. In this case, the price adjustment will be made in accordance with the inflation rate. <\/p>
An appropriate price adjustment will also be made if<\/p>
the delivery period is subsequently extended for one of the reasons mentioned in sections 6.3, 8.1 and 8.3,
or <\/li>
the type or scope of the agreed deliveries or services have been changed, or<\/li>
the design, the material and\/or the execution are changed because the documents supplied by the customer did not correspond to the actual circumstances or were incomplete, or the customer pointed out regulations or standards in accordance with 4.1 too late.<\/li><\/ul><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
6. Terms of payment<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
6.1. Unless otherwise agreed, payments must be made by the customer 10 days from the invoice date net without deduction of discount, expenses, taxes, levies, fees, customs duties and the like.<\/p>
6.2. The payment deadlines must also be observed if transport, delivery, assembly, commissioning or acceptance of the deliveries or services are delayed or made impossible for reasons for which CONNOVA is not responsible, or if insignificant parts are missing or rework proves necessary that does not make the use of the delivery or service impossible.<\/p>
6.3. If the down payment, if agreed, is not made in accordance with the contract, CONNOVA is entitled to adhere to the contract or withdraw from the contract and demand compensation in both cases.<\/p>
6.4. If the customer does not meet the agreed payment deadlines, he shall pay default interest from the due date without a reminder at the same rate as that charged by Swiss banks for unsecured current account loans, but at least 8%. The payment of default interest does not release the customer from his payment obligation, his other contractual obligations or his obligation to pay damages. <\/p>
6.5. An offsetting of mutual claims from this contract or in connection with this contract is only possible with a recognized or legally established counterclaim.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

7. Retention of title<\/h2>\t\t\t\t<\/div>\n\t\t

7.1. CONNOVA remains the owner of all its deliveries and services until it has received full payment in accordance with the contract. The customer undertakes to cooperate in the fulfillment of formal requirements at the first request. <\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
8. Delivery period<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
8.1. The delivery period begins as soon as the contract has been concluded, all official formalities such as import or payment permits have been obtained, the payments and any securities to be provided when ordering have been made and the technical points have been clarified. The delivery period is deemed to have been met if the notification of readiness for dispatch has been sent to the customer by the end of the period or CONNOVA has indicated readiness for service in the case of services. <\/p>
8.2. Compliance with the delivery period requires the fulfillment of the contractual obligations, in particular the payment and cooperation obligations, by the customer without any cost consequences for CONNOVA.<\/p>
8.3. The delivery period shall be extended appropriately:
<\/p>
if CONNOVA does not receive the information it needs to fulfill the contract in time, or if the customer subsequently changes it, causing a delay in the deliveries or services;<\/p><\/li>
if obstacles occur that CONNOVA cannot avert despite applying the required care, regardless of whether they arise at its premises, at the customer’s premises or at a third party. Such obstacles include, for example, epidemics, mobilization, war, riots, significant operational disruptions, accidents, labor disputes, delayed or incorrect delivery of the necessary raw materials, semi-finished or finished products, rejection of important workpieces, official measures or omissions, natural events; <\/p><\/li>
if the customer or third parties are in default with the fulfillment of their contractual obligations from this contract or previous orders, in particular if the customer does not comply with the terms of payment.<\/p><\/li><\/ul>
8.4. If a specific date has been agreed instead of a delivery period, this is equivalent to the last day of a delivery period; sections 8.1 to 8.3 apply analogously. <\/p>
8.5. The customer is not entitled to any rights of withdrawal or any other claims such as reduction or compensation due to delays in the deliveries or services. This restriction does not apply to unlawful intent or gross negligence on the part of CONNOVA, but the restriction also applies to unlawful intent or gross negligence on the part of auxiliary persons. <\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

9.1. Benefit and risk are transferred to the customer in the case of pure delivery contracts at the latest when the deliveries leave the factory, or in the case of contracts for work (delivery) at the latest when the use of deliveries and services begins.<\/p>
9.2. If the dispatch is delayed at the request of the customer or for other reasons for which CONNOVA is not responsible, the risk is transferred to the customer at the time originally intended for delivery ex works. From this point in time, the deliveries will be stored and insured at the customer’s expense and risk. <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
10. Shipping, transport and insurance<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
10.1. Special requests regarding shipping, transport and insurance must be communicated to CONNOVA at the latest when placing the order. The transport takes place ex-works (Incoterms, latest version) at the expense and risk of the customer.
Complaints in connection with shipping or transport must be sent by the customer to the last carrier immediately upon receipt of the deliveries or the freight documents
. <\/p>
10.2. Insurance against damage of any kind is the responsibility of the customer.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t
11. Inspection and acceptance of deliveries and services<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
11.1. CONNOVA checks the deliveries and services with its usual care before dispatch or after the service has been provided. If the customer requests further checks, these must be specially agreed and paid for by the customer. <\/p>
11.2. The customer must inspect the (partial) deliveries and (partial) services within a reasonable period of time and notify CONNOVA of any defects in writing without delay. If he fails to do so, the (partial) deliveries and (partial) services are deemed to have been approved. <\/p>
11.3. CONNOVA must remedy the defects reported to it in accordance with section 11.2 as quickly as possible, and the customer must give it the opportunity to do so. After the rectification, an acceptance test takes place at the request of the customer or CONNOVA. <\/p>
11.4. The delivery or service is also deemed to have been approved as soon as the customer uses or can use the (partial) deliveries or (partial) services from CONNOVA.<\/p>
11.5. Due to defects of any kind in (partial) deliveries or (partial) services, the
Customer has no rights and claims other than those expressly mentioned in section 11 and section 12 (warranty, liability for defects). <\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

12. Warranty, liability for defects<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
12.1. Warranty period
The warranty period for any type of CONNOVA products such as components, molds and tools is 24 months. It begins with the departure of the deliveries ex works. If the dispatch is delayed for reasons for which CONNOVA is not responsible, the warranty period ends no later than 26 months after notification of readiness for dispatch. In the case of CONNOVA services, the warranty begins after completion of the service and lasts 12 months.
The warranty period for CONNOVA repairs of any kind of products such as components, molds and tools is 12 months. It begins with the departure of the deliveries ex works or after notification of the successful repair on site at the customer’s premises.
The warranty expires prematurely if the customer or third parties make improper changes or repairs or if the customer, if a defect has occurred, does not immediately take suitable measures to reduce the damage and does not give CONNOVA the opportunity to remedy the defect in writing.. <\/p>
12.2. Liability for defects in material, design and execution
CONNOVA undertakes, upon written request from the customer (to the exclusion of any other claims), to repair or replace as quickly as possible at its discretion all products of CONNOVA’s deliveries that are demonstrably defective and unusable due to poor material, faulty design or defective workmanship until the end of the warranty period. Replaced parts become the property of CONNOVA. CONNOVA bears the costs incurred in its factory for the replacement, repairs or rework. Costs of replacement and rework outside the CONNOVA factory are borne by the customer.
CONNOVA undertakes, upon written request from the customer (to the exclusion of any other claims), to repair or replace as quickly as possible at its discretion all services provided by CONNOVA that demonstrably become defective or unusable due to poor material, faulty design or defective workmanship until the end of the warranty period. <\/p>
12.3. Liability for guaranteed properties
Liability for guaranteed properties is only assumed for those properties that have been expressly designated as such in the order confirmation. The assurance applies at the latest until the end of the warranty period, unless a longer period has been assured.
If the guaranteed properties are not or only partially fulfilled, CONNOVA is entitled to carry out rework. The customer must grant CONNOVA the necessary time and opportunity to do so.
If this rework is not or only partially successful, the customer is entitled to an appropriate reduction in the price. If this rework is not or only partially successful, the customer is entitled to an appropriate reduction in the price. <\/p>
12.4. Exclusions from liability for defects
Excluded from CONNOVA’s warranty and liability are damages to the products delivered by CONNOVA that are demonstrably not caused by poor material, faulty design or defective workmanship, such as damages due to wear and tear (such as fractures and general wear and tear as well as overload, weather conditions, air pollution, EMC), inadequate maintenance, failure to observe operating instructions, excessive stress, unsuitable operating materials, chemical or electrolytic influences, interference with other products, systems or services, as well as due to other reasons for which CONNOVA is not responsible.<\/p>
12.5. Deliveries and services from sub-suppliers
For deliveries and services from sub-suppliers that are prescribed by the customer, CONNOVA only assumes the warranty within the scope of the warranty obligations of the sub-suppliers concerned.<\/p>
12.6. Exclusivity of warranty claims
Due to defects in material, design or execution, as well as due to the absence of guaranteed properties, the customer has no rights and claims other than those expressly mentioned in sections 12.1 to 12.5, in particular no claims for cancellation or compensation.12.7. Liability for ancillary obligations
CONNOVA is only liable for claims by the customer due to faulty advice and the like or due to violation of any ancillary obligations in the event of unlawful intent or gross negligence. <\/p>
12.8. The warranty rights and defenses cannot be transferred to third parties without the prior written consent of CONNOVA<\/p>
12.9. The customer will follow CONNOVA’s rules regarding goods returns under warranty or for repair (Repair and Replacement Procedure)<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t
\n\t\t\t\t\t
13. Software<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
Any software supplied by CONNOVA remains the property of CONNOVA or its licensor. The customer is granted a personal, non-exclusive, non-transferable license to use the software in direct connection with the delivered goods. The customer acknowledges the confidential nature of the software. <\/p>
13.2. The warranty for software is limited to defects that cause unreasonable defects in the functioning of the goods supplied with the software. CONNOVA will take reasonable measures to replace the software with defect-free software. <\/p>
13.3. Article 12 applies accordingly.<\/p><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

14. Assembly \/ commissioning<\/h2>\t\t\t\t<\/div>\n\t\t

14.1. If CONNOVA undertakes to carry out the assembly\/installation, the supervision\/construction management of the assembly\/installation or the commissioning, exclusively CONNOVA’s General Assembly Conditions apply<\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

15. Non-fulfillment, defective performance and its consequences<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
15.1. In all cases of defective or non-fulfillment not expressly regulated in these terms and conditions, in particular if CONNOVA begins the execution of the deliveries and services without reason so late that timely completion can no longer be foreseen, if a contractual execution attributable to CONNOVA’s fault is certain to be foreseen or if deliveries or services have been executed contractually due to CONNOVA’s fault, the customer is entitled to set CONNOVA a reasonable grace period for the deliveries or services concerned, threatening withdrawal in the event of failure to comply. If this grace period expires unused due to CONNOVA’s fault, the customer can withdraw from the contract with regard to the deliveries or services that have been executed contractually or whose contractual execution is certain to be foreseen and demand the return of the corresponding share of payments already made.<\/p>
15.2. In such a case, the provisions of section apply with regard to a possible claim for damages by the customer and the exclusion of further liability. 16, and the claim for damages is limited to 10% of the contract price of the deliveries and services for which the rescission takes place.<\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

16. Exclusion of further liability<\/h2>\t\t\t\t<\/div>\n\t\t
\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
16.1. All claims of the customer other than those expressly mentioned in these conditions, irrespective of the legal grounds on which they are based, in particular any claims for damages, reduction or rescission of the contract not expressly mentioned, are excluded. In no case shall the customer be entitled to compensation for damages that have not occurred to the delivery item itself, such as, in particular, loss of production, loss of use, loss of orders, loss of profit and other indirect or direct damages. These restrictions do not apply to unlawful intent or gross negligence on the part of CONNOVA, but they also apply to unlawful intent or gross negligence on the part of auxiliary persons.<\/p><\/div>
16.2. CONNOVA assumes no liability for the materials, components, panels and parts delivered by the customer for processing.
All claims of the customer regarding damages to materials, components, panels, parts and products that were delivered to CONNOVA by the customer or its suppliers and that arose at CONNOVA as a result of faulty design or defective workmanship are excluded.
CONNOVA shall bear the costs incurred in its plant for the repair, rework or new execution of the work and services.
